Website Service Agreement (“WSA”)

This agreement outlines the terms and conditions under which WebWyze will provide Website Services to the Customer.

Scope of Services

WebWyze will construct a website based on the onboarding intake and discovery documents provided by the Client, as well as our initial project planning that facilitates the discovery process and as described in the Master Service Agreement (MSA).

The Customer will not have administrative access to edit web pages but can create an unlimited number of blog pages at any time using the content management system after completed project.

Our Managed WordPress Website Service is a complete solution that covers all aspects of website creation, updates, maintenance, and backups. This means that the Customer can relax while WebWyze handles all the technical details. Our team of experts is dedicated to ensuring that the website is always up-to-date, secure, and running smoothly, including regular security updates to protect the website and its data from potential threats.

The term “Website Services” refers to the building and management of a website for the Customer by WebWyze. This includes the design, creation, updates, maintenance, and backups of the website based on the description and direction provided by the Customer. The services offered by WebWyze are comprehensive, covering all aspects of website creation, and its team of experts is dedicated to ensuring that the website is always up-to-date, secure, and running smoothly.

Our Commitment to Satisfaction: At WebWyze, we prioritize our clients’ satisfaction above all else. We understand the importance of a website to your business, and we’re committed to delivering a product you love. Here’s our promise to you:

  • Design Revisions: We’ll work with you until your website looks and functions exactly how you envisioned. We offer 3 design revisions for your website project.
  • All-Inclusive Service: Hosting, Security, Accessibility, & Local Insights are all included in all plans ensuring a comprehensive solution for your online presence.
  • Domain Name Registration: As a part of our service, the Client has the option to register or transfer a domain name for an annual fee of $19.99. This fee will be conveniently charged to the payment method linked to your account automatically.

Customer Obligations

  • Complete any questionnaires required by WebWyze.
  • Ensure the accuracy of materials provided by WebWyze.
  • Approve the content of pages created by WebWyze.
  • Respond promptly to requests needed for the project to progress in a timely manner.
  • Maintain the blog pages created by customer.

Customer’s License and Rights

The Customer grants WebWyze and its vendors and subcontractors the necessary rights and licenses with respect to the Customer’s Website or logo created by WebWyze to fulfill its obligations under this Agreement. WebWyze may make a reasonable number of backup copies as deemed necessary.

Support

WebWyze’s dedication to client success extends beyond the initial website design and deployment phase. The managed services described in the Master Service Agreement (MSA) encompass a comprehensive support structure, ensuring client websites remain updated, operational, and in line with their business objectives.

For extensive websiterevisions that fall outside this scope as defined in the MSA are governed by an Adendum to the MSA,  Change Order Form (COF) will provided and quoted by WebWyze.

Operational Hours & Response Commitment: For details on operational hours and response times, kindly refer to the SLA under our “WebWyze Responsibilities” section.

WebWyze values client feedback and remains unwavering in our commitment to deliver exceptional support. We aim to ensure that our clients’ online platforms epitomize excellence. Should there be any questions or need for clarification regarding our support structure, clients are strongly encouraged to reach out.

Chage Order Form (COF):
All specialized services are billed with a minimum of one hour. Subsequent time is billed in half-hour increments. For example, a task taking 1 hour and 20 minutes will be billed for 1.5 hours.

For certain tasks, depending on their complexity and size, WebWyze may provide a COF outlining the specific deliverables, timelines, and associated costs. In such cases:

For smaller tasks where an COF is deemed unnecessary by WebWyze, the client will be billed upon the task’s completion. It remains at the sole discretion of WebWyze to determine the necessity of an COF based on the size and complexity of the task.

Content Management

  • Website Content: The Customer acknowledges that WebWyze provides a managed website service, where the design and content creation is handled by WebWyze. The Customer may add, edit, and delete blog content using the easy-to-use editor provided by WebWyze and may only add HTML content and upload images. All other pages and content will be provided and managed by WebWyze as directed by Client.
  • Editor Usage: The Customer agrees to use the editor in accordance with the terms and conditions outlined in this agreement. Modifications or changes made outside of the editor may result in the loss of content or affect website functionality.
  • Responsibility: The Customer understands that any content they add, edit, or delete through the editor is their sole responsibility. WebWyze will not be held liable for errors or inaccuracies in the content added by the Customer.

Ownership of Customer’s Content

  • Customer acknowledges that all Content provided by them to WebWyze for inclusion on the Website, is owned by the Customer or that they have a legal right to such Content.
  • Customer is responsible for ensuring that all Content and its use do not violate the WebWyze Acceptable Use Policy (AUP).
  • Customer is responsible for any and all claims related to the Content.
  • WebWyze will not be responsible for any legal issues related to the Content.

Website Ownership and Buyout

  • What is a Website Buyout?: A website buyout is an option available to customers who wish to terminate their services with WebWyze but want to retain ownership of their website. By exercising the buyout option, the Customer obtains full ownership rights of the website, including all its content and associated assets. However, the Customer will also be responsible for managing all aspects of the website, including but not limited to, securing and maintaining hosting, ensuring website security, and managing all updates and maintenance, after the buyout. Additionally, the Customer will be responsible for any licenses of plugins, as these do not transfer with the buyout. This means that while the services with WebWyze are terminated, the Customer can take the website, host it elsewhere, or manage it independently, but they will need to ensure all necessary licenses are in place.
  • Buyout Process: Upon exercising the buyout option and fulfilling all financial obligations, the customer will own the website 100%.
  • Buyout Fee: The fee for website ownership rights constitutes full payment of any remaining fees as described in the MSA. This includes any outstanding fees if the customer has chosen a monthly payment option.
  • Payment Conditions: The Customer must be current with their website payments and not in default of the Agreement to obtain ownership rights.
  • Ownership Model: The website operates on a lease-to-own model and remains the property of WebWyze until full payment has been recieved as described in the MSA.
  • Acknowledgment: The customer acknowledges and agrees to these terms related to website ownership and buyout.

WebWyze Footer

  • Customer agrees that the text and/or image footer link “Site by WebWyze” will appear on the completed site. The customer may choose to exclude or permanently remove the footer from its website at any time, subject to an additional one-time payment to WebWyze in the amount of $359.00 USD. This payment can be made at any time after the website has gone live and must be completed prior to the removal of the footer.

Disclaimer:

WebWyze may periodically update the Terms. As a customer, it is your responsibility to regularly review these terms to stay informed of any changes. Changes to the terms will be communicated exclusively via email to you as a registered customer. By continuing to use our site and services after any changes have been made, you are agreeing to comply with and be bound by the updated Terms. If you find any changes to be unacceptable, your sole remedy is to discontinue your use of our site and services.
